 The Importance of Contractual Strategies in Compliance

A course offered as part of the Master 2 in Business Law, Ethics, and Compliance (JAEC) program at the University of Lyon 2.

 

Julie Zorrilla and Margot Barré led a session for the students of the Master’s Program in Business Law, Ethics and Compliance (JAEC) at the University of Lyon 2., on the topic of contractual strategies in the fight against corruption, which undeniably contribute to risk management for companies.

During these days, they discussed the following topics in particular:

  • Internal risks, i.e., compliance embedded in employee contracts
  • External risks, i.e., compliance embedded in contracts with commercial and financial partners
    • In commercial transactions with third parties
    • In asset-related transactions

An opportunity to discuss, among other things, anti-corruption clauses, code of conduct, training initiatives, disciplinary framework, third-party integrity assessments, due diligence, and contractual guarantees in merger and acquisition operations.
